Governance Review

A governance review involves a comprehensive study of all aspects of an organisation’s governance. In a governance system design or review we work with key governance personnel to develop a corporate governance system that suits your company’s particular legal structure and challenges.

The Corporate Governance Charter® is used in these reviews as a framework for the analysis, development and enhancement of leading practice processes, policies and practices and we work with you to ensure that the result is a governance system that enhances your organisation’s performance.

This framework allows us to help boards answer the type of questions boards are often faced with when trying to improve their governance. For example, does our board have the knowledge, skills and experience it requires to fulfil its responsibilities? What is the board’s role in strategy?

With a proven methodology, our approach is tailored for each client. It generally involves a review of all existing policies, procedures and practices and an examination of key governance relationships including intra-board relationships, the board-CEO relationship and board-management relationships.

The model has been published in the bestselling book “Boards That Work” (McGrawHill, 2003). It highlights four major components of developing an effective program of corporate governance, namely:

  • Defining Governance Roles: delineating the role of the board and key players in the governance system
  • Improving Board Processes: enhancing the administrative functions and processes of the board
  • Key Board Functions: elaborating the critical activities that a board performs and defining performance expectations
  • Continuing Improvement: the procedures and processes which lay the foundation for continuing improvement in corporate governance
